PURPOSE

The purpose of this corporation shall be to promote and encourage interest in radio controlled model aviation and all allied sciences of modeling for the benefit of all members.

ARTICLE I

OFFICERS

Section 1. The officers of the corporation shall be President, Vice President, Secretary, Treasurer, Safety Officer, and Field Officer to be elected by a majority vote at the annual meeting, for the term of one (1) year. Elections shall be held in the month of December of each year with the term of office commencing on January 1st.

Section 2. When a member of the board of directors of this corporation is unable to serve out their term of office, the vacancy shall be filled at a special election. Notice of said election is to be mailed no less than two (2) weeks prior to the election. Officers, who in the Majority Opinion of the “Board of Directors” fail to carry out their duties, may be removed from office. A notice of removal shall be mailed to the officer and the general club membership no less than two (2) weeks prior to the monthly club meeting. At the monthly membership meeting, a simple majority vote, of members present is required for said removal. New officers will be elected by a majority vote to serve out the remainder of the current term. Two-thirds (2/3) of membership present at given meeting is a majority.

Section 3. Duties of the President: He/She shall preside at all corporation meetings, appoint committees (Minimum of 3 members) necessary to conduct the business of the Club. He/She shall be the chief executive of the corporation and shall enforce all provisions, objectives and purposes thereof. He/She shall also perform all other duties that pertain to said office. He/She shall be authorized to sign all club checks.

Section 4. Duties of the Vice President: He/She shall assume the duties of the president in his/her absence. He/She shall perform such other duties as the president shall direct.

Section 5. Duties of the Secretary: He/She shall record minutes of all Club meetings and handle all Club correspondence. He/She shall maintain correct and up-to-date records of the office and perform such other duties as the president shall direct. He/She shall perform such other duties, as the president shall direct.

Section 6. Duties of the Treasurer: He/She shall maintain correct and up-to date financial records and accounts of all corporation transactions. He/She shall be authorized to collect all dues and fees and sign all club checks. He/She shall perform such other duties, as the president shall direct.

Section 7. Duties of the Safety Officer: He/She shall ensure all safety regulations as laid down by the AMA and by the club are strictly adhered to. He/She shall perform such other duties, as the president shall direct.

Section 8. Duties of the Field Officer: He/She shall ensure the field and all support equipment is maintained to an acceptable standard. He/She shall produce and maintain an up to date volunteer roster for grass cutting. He/She shall report to the Board any matters relating to repair or improvement of the club site.

ARTICLE II

MEMBERSHIP

Section 1. The membership of this corporation shall be open to all model enthusiasts.

Section 2. All members, whether they are an Open, Associate or Youth must be a current AMA member with proof of membership for direct model control.

Section 3. Associate Members: Shall be defined as the spouse of an Open member. He/She will be accorded all rights and privileges of an Open member except to vote and/or hold office. No dues shall be required of Associate Members. An Associate Member who becomes an Open Member will not have to pay an initiation fee.

Section 4. Youth Members: shall be defined as a Person under the age of eighteen (18). A Youth Member will be accorded all rights and privileges of a regular member except to vote and/or hold office. No dues shall be required of Youth Members. A Youth candidate for membership must be sponsored by a current Open Member who can verify the candidate's flying and radio control habits and sufficiently state to the Open Members that the candidate should be received into the membership. A Youth Member who reaches the age of eighteen (18) and who has paid their Open membership dues will then be afforded all rights and privileges including the right to vote and/or hold office. A Youth Member who becomes an Open Member will not have to pay an initiation fee. A Youth Member who is less than sixteen (16) years of age must be accompanied at all times by a Parent or Legal Guardian.

Section 5. Probationary Period: New membership shall be on probation for a period of six (6) months to determine club compatibility. If terminated by either party, dues will be refunded pro-rated on membership period completed.

Section 6. Termination: Termination of membership shall require two-thirds majority vote at a quorum or by a majority vote. Notice of intent of termination shall be mailed two (2) weeks prior to the next scheduled meeting.

ARTICLE III

MEETINGS
Section 1. Regular meetings of the corporation shall be held monthly at such time and as place as the corporation shall designate.

Section 2. Annual meetings of the members shall be held in the month of December each year for the purpose of electing the board of directors and such other business as may come before the meeting. Notice of the date shall be made no less than two (2) weeks prior to such date. A member with due cause and proper notification may vote absentee ballot. His vote shall be counted as one (1) of the two-thirds members required. A committee, consisting of 3 members in good standing. None of whom are standing for an office in the current elections. Shall be appointed to receive and tally all absentee votes.

Section 3. Motions: At any meeting of the corporation a motion may be made, discussed, and voted on. All motions must carry by two-thirds majority which means two-thirds of the members present at the time.

Section 4. At all meetings of the corporation a majority present shall constitute a quorum.

ARTICLE IV

DUES AND FEES

Section 1. The annual dues and initiation fees of the corporation shall be set by the membership at the first meeting in October of each year and may be amended from time to time by a two-thirds majority vote at a quorum or a majority vote when two-thirds of the current voting members are present. Initiation fees shall be waived for Associate, and Youth Members applying for Open Membership.

Section 2. The Treasurer prior to the annual renewal date shall collect dues. The annual renewal date shall be the first day of January each year. After a period of absence one year or greater the returning prior Member will again be subject to pay the required initiation fee.

Section 3. Expenditures greater than one hundred dollars ($100) must be approved by the membership with exception of emergency purchases (i.e. mower parts).

ARTICLE V

BOOKS AND RECORDS

Section 1. The corporation shall keep correct and complete books and records of accounts and shall keep minutes of the proceedings of its members and board of directors. A record of all members that are entitled to vote shall be maintained including their addresses. All books of the corporation may be inspected by any member or his agent or attorney for any purpose at any reasonable time.

Section 2. The corporation books and records shall be reviewed quarterly by the board of directors to assure completeness and accuracy.

Section 3. E-Mail will be acceptable, wherever the word "Mail" or "Mailed" is used in the Club Bylaws, for the purpose of notification to the general membership.

ARTICLE VI

AMENDMENTS TO BYLAWS

Section 1. The Bylaws may be amended by a two-thirds majority vote of the members of the corporation present at any meeting of the corporation. Notice of said Bylaw change shall be mailed no less than two (2) weeks prior to the voting date.
